Terms of Service
These Terms of Service ("Terms") govern your access to and use of Sprapp, operated by BizTransit Sdn Bhd ("Company", "we", "us", "our"), available at sprapp.com (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you confirm that you are at least 13 years old and agree to comply with these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Sprapp builds its own small language models and the CPU inference engine that runs them. The Service includes:
- Inference: our serve-native engine serving our own models (eeny, meeny, miny) — hosted, via an OpenAI-compatible API, and on-device in your browser via WebAssembly.
- Train-your-own: fine-tune a LoRA adapter on our miny model from a persona and examples you provide.
- Marketplace: publish, buy, and sell trained agents (.knl adapters).
- Sprappy Filter: pre-LLM threat scoring for prompts.
On-device mode: Public chat runs in your browser on our models. Those conversations are processed locally and are not sent to us. Hosted features process your requests on our own engine; we do not route your prompts to third-party LLM providers.
3. Account Registration
You may create an account using Google sign-in or email. You may also use on-device chat without an account, with limited functionality. You agree to provide accurate information, keep your credentials secure, and you are responsible for activity under your account.
4. Pricing and Payment
4.1 Free
On-device chat is free. Training and hosted inference include a free tier. No credit card is required to start.
4.2 Paid Plans
Paid plans are flat — never per-token. Subscription pricing is geo-tiered based on your country of access, ranging from $3 to $9 per month (USD equivalent), determined automatically via Cloudflare country detection at time of subscription.
4.3 Marketplace
You may buy access to agents (one-time, subscription, or per-query) and, as a creator, sell agents you trained. Creator payouts are handled through Stripe Connect; the Company retains a platform fee disclosed at listing. You are responsible for the rights to any content in agents you publish.
4.4 Payment Processing
Payments are processed by Stripe. By paying, you agree to Stripe's terms. We do not store your card details.
4.5 Refunds
Subscription fees are non-refundable except as required by applicable law. You may cancel at any time; access continues until the end of the current billing period.
5. Models and Third-Party Services
Inference runs on models we build and operate. We do not send your prompts to third-party LLM providers. We do use a small set of service providers to operate the Service:
- Cloudflare — hosting, CDN, storage, and security.
- Stripe — payments and marketplace payouts.
- Exa — live web search, only when you enable web grounding; the query is sent to Exa to retrieve cited results.

6. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, incorporated by reference. Violations may result in suspension or termination.
7. Intellectual Property
7.1 Our Property
The Service — including our models, the serve-native engine, design, code, branding, and documentation — is owned by BizTransit Sdn Bhd. The Sprapp name, logo, and related marks are our trademarks. Model weights are licensed, not sold; you may not redistribute base model weights except as expressly permitted.
7.2 Your Content and Adapters
You retain ownership of the training data, personas, and examples you submit. The LoRA adapter (.knl) produced from your data is yours to use and, where you choose, to sell on the Marketplace. You grant us the limited rights needed to store, run, and (if you publish) distribute your adapter through the Service.
7.3 Outputs
As between you and us, you own the outputs you generate through your use of the Service, subject to law and these Terms. Outputs are not professional advice. Do not rely on them for legal, medical, financial, or other professional decisions without independent verification by qualified professionals.
7.4 Restrictions
- You may not reverse-engineer or attempt to extract our models or engine.
- You may not create derivative works of the Service except as permitted.
- All trademarks, logos, and brand elements are property of BizTransit Sdn Bhd.
- Feedback you provide may be used by us without obligation to you.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure.
- Model outputs will be accurate, complete, or appropriate.
- The Service will meet your specific requirements.
9. Limitation of Liability
To the maximum extent permitted by law, BizTransit Sdn Bhd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, use, or goodwill, resulting from your use of or inability to use the Service, unauthorized access to your data, third-party conduct, or outputs that are inaccurate, harmful, or inappropriate.
Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim, or USD $50, whichever is greater.
10. Indemnification
You agree to indemnify and hold harmless BizTransit Sdn Bhd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, content you publish to the Marketplace, or infringement of any third-party rights.
11. Termination
We may suspend or terminate your access for violation of these Terms or the Acceptable Use Policy. You may stop using the Service at any time. Upon termination, your account access is revoked, adapters you downloaded remain yours, and any active subscription is cancelled at the end of the current billing period.
12. Governing Law
These Terms are governed by the laws of Malaysia. Disputes are subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
13. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated via a notice on the Service at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
14. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how on-device chat stays on your device and how hosted services handle your data.
